Inorganic growth (primarily
through mergers and acquisitions) forms the core of any
Indian corporate, which wishes to catapult into the Big
League and follow its “MNC” agenda religiously.
Inorganic growth cuts the time to expand/grow and helps
in quickly achieving a critical mass, product and geographical
diversification. All the above highlight the importance
of this cluster and gel well with the overall objective
of the initiative.
Firstly, all the processes (from pre-origination to post-integration)
involved in any M&A deal are sought to be covered
comprehensively. The framework includes creating a central
repository of knowledge on Inorganic Growth and provides
the group affiliates with a robust network, which will
act as a single point shop for all the processes, services,
contact persons, respective country laws and so on.
Experiences on inorganic growth will be shared by corporates
following aggressive M&A strategy and service providers
(bank, advisors etc.) and the best sharing practices will
be circulated for the larger group. Country-wise databases
incorporating unique laws of a country will be prepared
for the benefit of all the members. Various service providers
addressing the entire spectrum will also be enlisted.
Any Indian corporate who has not pursued M&A strategy
or an Indian corporate undertaking an acquisition in another
geography using the knowledge repository or services will
be one of the performance indicators. Though qualitative
and subjective, the new member will benefit greatly as
that it would tend not to make similar mistakes that its
peers have committed in the past.
The idea of providing door-to-door M&A facilitator
and service provider with the underlying knowledge for
fostering community development in itself is unique. Moreover,
a special questionnaire will be formulated and available
for the members to assess the approach and readiness of
the member organization for inorganic growth. Various
interactive sessions from the who’s who of the M&A
world will also be organized at regular intervals.
Activities proposed in the next 6-12 months include conducting
seminars, training sessions, compilation of generic and
specific research materials on monthly/quarterly basis.
